The acquisition of the development land and the complete project is structured via the sale of 100% of the shares in the Special Purpose Vehicle (SPV).

Subject of Transaction 100% of the shares in the SPV on a debt-free, cash-free (DFCF) basis. Under DFCF terms, the final transaction price is adjusted downward by the amount of any outstanding liabilities and upward by cash balances remaining in the SPV’s bank accounts.
